    Client Intellectual Property

    • Clients retain ownership of their pre-existing intellectual property
    • Work products created specifically for clients are owned by clients
    • Any shared ownership is clearly defined in service agreements

    5. Confidentiality and Privacy

    Our confidentiality and privacy practices are governed by our separate Confidentiality Policy and Privacy Policy, which are incorporated by reference into these Terms of Service.

    Both parties agree to maintain confidentiality of sensitive information shared during the engagement.

    6. Limitation of Liability

    To the maximum extent permitted by law:

    • Our total liability is limited to the amount paid for services
    • We are not liable for indirect, incidental, or consequential damages
    • We do not guarantee specific business outcomes or results
    • Our advice is based on information provided and market conditions at the time
    • Clients are responsible for implementation decisions and outcomes

    8. Termination

    Either party may terminate the engagement:

    • Immediately for material breach of terms
    • Immediately for non-payment after 30-day cure period
    • By mutual agreement at any time

    Upon termination, confidentiality obligations continue, and all outstanding fees become immediately due.

    Disputes will be resolved through:

    • Mediation if negotiation is unsuccessful
    • Binding arbitration if mediation fails
